TERMS & CONDITIONS

Welcome to Team Lab Inc. ("Team Lab", "we", "our", or "us").

These Terms & Conditions govern your access to and use of:

• www.teamlabinc.com ("Main Website"); and
• Any Team Lab-operated ecommerce website, team store, fan shop, association store, ordering portal, or custom online store created for sports organizations ("Club Stores").

By accessing any Team Lab website or placing an order through a Club Store, you agree to these Terms & Conditions.

1. ABOUT TEAM LAB

Team Lab Inc. designs, manufactures and
supplies custom sports uniforms, apparel, equipment and promotional products
for sports organizations, clubs, schools and associations.

The Main Website is informational only.

Products are sold only through authorized Club Stores or directly through Team Lab.

2. MAIN WEBSITE

The Main Website is provided solely for informational purposes.

The Main Website does not:

• sell products directly;
• process payments;
• guarantee pricing;
• guarantee availability; or
• constitute a binding offer to sell.

Product images, catalogs, renderings, mockups, timelines and specifications are illustrative only and may change without notice.

3. CLUB STORES

Each Club Store is created specifically for an individual organization.

Each store may include:

• organization branding
• customized products
• pricing
• ordering deadlines
• delivery schedules
• pickup instructions

Club Stores operate independently from the Main Website.

Store opening and closing dates are determined by Team Lab and/or the applicable organization.

4. CUSTOM PRODUCTS

Unless expressly stated otherwise, all
products sold through Club Stores are custom manufactured after an order is placed.

Products may include:

• jerseys
• uniforms
• hats
• hoodies
• jackets
• bags
• socks
• fanwear
• accessories
• promotional products

Because products are custom made specifically for each customer, production begins after payment has been received and the Club Store closing date.

5. PRICING

Prices displayed are in Canadian Dollars unless otherwise indicated.

Applicable taxes and shipping charges are calculated during checkout.

Pricing may change without notice until an order has been submitted.

6. PAYMENT

Payment is due in full at checkout.

Payments are securely processed by authorized third-party payment processors, including Stripe.

Team Lab does not store or retain customers' full payment card information.

By submitting payment you authorize Team Lab and its payment processor to charge your selected payment method for the total amount shown during checkout.

Orders will not enter production until payment has been successfully authorized.

Team Lab reserves the right to refuse or
cancel orders where payment cannot be verified or where fraud or unauthorized activity is suspected.

7. FRAUD PREVENTION

To protect customers and Team Lab, we reserve the right to:

• verify payment information;
• request additional verification;
• decline suspicious transactions;
• cancel orders believed to be fraudulent.

8. ONLINE ORDERS

Orders are processed based on the store closing date, not the date the order is
placed. Production timelines begin once the store has officially closed.

9. INVENTORY / ADDITIONAL ORDERS

As all items are made to order, inventory is not held. Any additional or late orders
will be subject to revised production timelines, pricing, and applicable minimum order quantities. A $35 service charge will be applied to all orders placed outside of the booking window.

10. PRODUCTION TIMELINES

Custom manufacturing requires production time.

Estimated production is generally:

60–120 days after the applicable store closing date unless otherwise specified.

Production estimates may be affected by:

• factory capacity
• seasonal demand
• shipping delays
• customs
• supply chain disruptions
• material shortages
• artwork approvals
• weather
• labour disruptions

Estimated dates are not guaranteed.

11. ORDER ACCURACY

Customers are responsible for reviewing:

• product selection
• sizes
• quantities
• names
• jersey numbers
• shipping information
• contact information

Orders cannot always be modified after submission. Once an order is submitted, no changes can be made to sizes, player names, or numbers. Please ensure all details are correct before completing your order.

12. RETURNS, REFUNDS & CANCELLATIONS

Your use of our websites is also governed by our Refunds & Returns Policy.

Because our products are custom manufactured, orders generally cannot be cancelled once production has begun. 

Once an order has entered production, it
cannot be cancelled because the products are manufactured specifically for that customer or organization.

If a cancellation request is received before production begins, Team Lab will determine whether cancellation is possible and whether any applicable administrative or payment processing fees may apply.

Except where required by applicable law, Team Lab does not accept returns or exchanges for:

• Incorrect size selected by the customer
• Incorrect product selected by the customer
• Customer-entered spelling errors
• Incorrect jersey numbers submitted during ordering
• Colour expectations based on screen displays
• Buyer’s remorse
• Change of preference
• Organization roster changes after ordering
• Late requests after production has begun

As custom products are manufactured
specifically for each order, refunds are generally not available once production has begun.

Refunds may be considered only in limited circumstances, including:

• Duplicate payments
• Orders cancelled before production begins (where applicable)
• Products that Team Lab determines contain a verified manufacturing
  defect
• Products that Team Lab determines were manufactured incorrectly due
  to an error caused solely by Team Lab
• Products that Team Lab determines do not meet the manufacture’s
  Minimum Order Quantity (MOQ).

Where appropriate, Team Lab may choose, at its
sole discretion, to:

• repair the product;
• remake the product;
• replace the product; or
• issue a full or partial refund.

Refunds, when approved, will be issued to the
original payment method whenever possible.

If a product contains a verified manufacturing
defect or production error caused by Team Lab, we will, at our discretion:

• repair,
• replace, or
• refund the affected item.

A defect is defined as a manufacturing or
production fault present at the time of delivery. Customers should inspect
their order promptly upon receipt.

If you believe an item contains a
manufacturing defect or production error, you must notify Team Lab within 10
calendar days of receiving your order.

Your request should include:

• Order number
• Customer name
• Description of the issue
• Clear photographs showing the defect

Considered a Defect:

• Incorrect item received (wrong size, color, or style vs. order)
• Incorrect name, number, or logo compared to approved artwork
• Missing decoration (logo, crest, number, etc.)
• Print or crest peeling, cracking, or lifting before use.
• Open seams, stitching failure, or holes due to poor construction. Upon arrival.
• Faulty zippers, snaps, or closures upon arrival
• Major fabric defects present before use

Due to the physical nature of sports, normal wear and game-related damage is expected and is not considered a defect.  The following are not considered manufacturing defects:

• Incorrect size ordered by the customer
• Minor colour variations caused by screen displays or dye lots
• Minor variations in artwork placement
• Normal manufacturing tolerances
• Minor stitching variations
• Wear resulting from normal use
• Snags, fabric pulls, or tears caused by contact: even on first use
• Fabric damage caused by Velcro (common in hockey protective equipment)
• Fabric damage caused by protective equipment, puck marks, sticks marks, or abrasion damage (hockey)
• Fabric damage caused by sliding, diving, or on-field play (baseball)
• Damage caused by misuse, improper care, washing, drying, accidents, alterations, or unauthorized modifications

Team Lab may request that the product be returned for inspection before determining the appropriate resolution.

Nothing in these Terms limits any rights customers may have under applicable consumer protection laws.

13. SHIPPING & DELIVERY

Your use of our websites is also governed by our Shipping & Delivery Policy.

Orders will be distributed based on the option selected at checkout (team distribution, pickup, or shipping).

Team Distribution / Club House Pickup:

If items are distributed through the club or picked up at a club location, Team Lab is not responsible for any missing items
or orders.

Team Lab Pickup (Vaughan): FREE

Pickup is free at the Team Lab location in
Vaughan during designated pickup periods. Customers will be contacted with instructions, including available dates and times, once their order is ready. A Team Lab representative will review the order with you at pickup, and you will be required to sign off confirming all items are correct. Once the order has
been signed off and leaves the premises, Team Lab is not responsible for any
missing items.

Shipping:

Paid at checkout. Shipping fees apply where selected. Orders will be shipped to the address provided at checkout. Team Lab is not responsible for delays caused by shipping carriers. Shipping dates are estimates.

Team Lab is not responsible for delays caused by:

• shipping carriers
• customs
• weather
• labour disruptions
• force majeure events
• circumstances beyond our reasonable control

Risk of loss transfers upon delivery to the shipping carrier or designated pickup location, where permitted by law.

14. PRODUCT IMAGES

Website images, renderings, mockups and digital proofs are intended for illustration.

Actual products may vary because of:

• monitor settings
• fabric
• dye lots
• manufacturing processes
• printing methods

Minor variations do not constitute defects.

15. INTELLECTUAL PROPERTY

All Team Lab content including:

• artwork
• photographs
• graphics
• layouts
• logos
• product designs
• trademarks
• software
• text

is owned by Team Lab or its licensors.

Organizations submitting artwork warrant they possess all necessary rights and permissions.

 Right to Use Trademarks: The customer represents and warrants to Team Lab that he/she/it has the right to use, copy and distribute each trademark, trade name, logo, statement, graphic, artwork, name, photograph, portrait, picture or illustration of any person or any other intellectual
property in the way it is to printed on, sewn, or otherwise applied to the products ordered by the user or customer from Team Lab. The user/customer warrants that, in obtaining the material and submitting it to Team Lab for reproduction, he/she/it has not violated the property rights of a third party.

The user/customer further agrees to indemnify and hold harmless Team Lab and its owners, officers, employees and agents from any suit, demand, claim, loss, liability, damage or expense made against Team Lab by reason of breach of this warranty, and also agrees to pay any judgment or settlement offer resulting
from any suit, demand, or claim and to pay any legal fees incurred by Team Lab
in defending against any such suit, demand or claim. The burden of determining that any material is not protected by trademark or other proprietary right rests with the user/customer. The user/customer is solely responsible for obtaining proper permissions and licenses, except as may be permitted by copyright law, from third parties whose rights may be violated or infringed upon using any material protected by trademark, service mark, copyright or other proprietary rights.

A customer may not use any logo or other graphic material in a manner that may infringe upon copyright, trademark, service mark or other proprietary mark. Team Lab assumes no responsibility for damages or any wrongdoing that the customer may cause using a logo, trademark or copyrighted item. The customer further agrees to indemnify and hold Team Lab harmless from and against any suit, demand, claim, loss, liability, damage or expense made against or incurred by Team Lab by reason of the unauthorized, improper, or illegal use of any logo or trademark or copyright that is printed on, sewn or otherwise applied to merchandise ordered or purchased by the customer through Team Lab.

16. WEBSITE USE

You agree not to:

• misuse the website;
• interfere with website security;
• upload malicious software;
• attempt unauthorized access;
• use automated systems to scrape website content.

17. PRIVACY

Your use of our websites is also governed by our Privacy Policy. Information collected during checkout is used solely for fulfilling orders, customer service, fraud prevention, legal compliance and related business purposes.

Payment information is processed securely by third-party payment processors and is not stored by Team Lab.

18. ELECTRONIC COMMUNICATIONS

By placing an order or contacting Team Lab electronically, you consent to receive communications regarding your orders,
production updates and customer service by email or other electronic means.

19. WEBSITE AVAILABILITY

We strive to keep our websites available at all times but do not guarantee uninterrupted access.

Maintenance, updates or technical issues may temporarily affect availability.

20.
LIMITATION OF LIABILITY

To the fullest extent permitted by law, Team Lab shall not be liable for indirect, incidental, special or consequential damages, including lost profits or business interruption.

Our maximum liability arising from any order shall not exceed the amount paid for that order.

21. INDEMNIFICATION

You agree to indemnify and hold harmless Team Lab, its officers, employees and affiliates from claims arising from:

• submitted artwork;
• trademark disputes;
• copyright infringement;
• customer errors;
• misuse of products;
• violations of these Terms.

22. FORCE MAJEURE

Team Lab is not liable for delays resulting from events beyond our reasonable control including:

• natural disasters
• pandemics
• government actions
• labour disruptions
• cyber incidents
• transportation interruptions
• supply chain failures
• acts of war

23. GOVERNING LAW

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein.

Any disputes shall be resolved in the courts of Ontario, Canada.

24. CHANGES TO THESE TERMS

Team Lab may update these Terms from time to time.

The revised version becomes effective upon posting.

Continued use of our websites constitutes acceptance of the updated Terms.
