Welcome to Team Lab Inc. ("Team
Lab", "we", "our", or "us").

These Terms & Conditions govern access to
and use of:

  1. The Team Lab Inc. informational website located at www.teamlabinc.com
    ("Main Website"); and
  2. Any custom ecommerce ordering websites, online stores, team stores,
    fan shops, association stores, or ordering portals ("Club
    Stores") developed, managed, or hosted by Team Lab for sports
    organizations, associations, clubs, teams, leagues, schools, or other
    organizations.

By accessing any Team Lab website, placing an
order through a Club Store, or using our services, you agree to be bound by
these Terms & Conditions.

1. MAIN
WEBSITE – INFORMATIONAL PURPOSES ONLY

The Team Lab website located at www.teamlabinc.com is provided for informational purposes only.

The Main Website:

  • Does not sell products directly to consumers
  • Does not process online purchases
  • Does not accept payments
  • Does not constitute an offer to sell products
  • Is intended solely to provide information regarding Team Lab, its
    products, services, capabilities, and business operations

Any product images, pricing examples, mockups,
renderings, catalogs, specifications, descriptions, or timelines displayed on
the Main Website are for informational purposes only and may change without
notice.

Team Lab makes no guarantee that products,
pricing, availability, colors, specifications, or services displayed on the
Main Website will be available through any Club Store.

2. CLUB
STORES

Team Lab creates and operates custom ecommerce
websites for sports associations, clubs, teams, leagues, schools, and
organizations.

Each Club Store:

  • Operates independently from the Main Website
  • Has its own unique URL
  • Is customized for a specific organization
  • Contains organization-specific products, artwork, logos, pricing,
    deadlines, and distribution methods
  • Allows authorized customers to purchase custom-made products

Customers acknowledge that Club Stores are
operated on behalf of the applicable organization and are subject to
organization-specific ordering periods, deadlines, requirements, and policies.

Team Lab reserves the right to open, modify,
suspend, extend, restrict, or close any Club Store at any time without notice.

3.
CUSTOM-MADE PRODUCTS

All products sold through Club Stores are
custom-made products.

Products may include but are not limited to:

  • Jerseys
  • Uniforms
  • Hats
  • Hoodies
  • Jackets
  • Bags
  • Socks
  • Fanwear
  • Team apparel
  • Promotional products
  • Accessories

All products are manufactured specifically for
the organization and customer after an order is placed.

Unless otherwise stated:

  • Products are not stocked inventory
  • Products are not pre-manufactured
  • Products are produced specifically for each order
  • Products may contain customized names, numbers, logos, artwork,
    colors, sponsors, and team branding

Customers acknowledge that custom-made
products cannot be resold by Team Lab and therefore are subject to special
ordering conditions.

4.
PAYMENT TERMS

All orders must be paid in full at the time of
checkout.

By placing an order, customers authorize Team
Lab to charge the full purchase amount immediately.

Production will not begin until:

  • Payment has been successfully processed; and
  • The order has been received by Team Lab.

No order will enter production without full
payment.

Failure to complete payment may result in
cancellation of the order.

5.
PRODUCTION TIMELINES

Because products are custom manufactured,
production timelines vary.

Estimated production timelines generally range
between:

60 to 120 days from the applicable store
closing date or order submission date.

Production timelines may be affected by:

  • Seasonal demand
  • Factory capacity
  • Material availability
  • Shipping delays
  • Customs clearance
  • Labor disruptions
  • Weather events
  • Global supply chain issues
  • Artwork approvals
  • Order volume
  • Force majeure events

All production and delivery dates are
estimates only.

Team Lab does not guarantee delivery by any
specific date unless expressly agreed to in writing.

Customers acknowledge that delays may occur
and agree that such delays shall not constitute grounds for cancellation,
refund, chargeback, damages, or liability against Team Lab.

6. ORDER
ACCURACY

Customers are solely responsible for reviewing
and confirming all order details before completing checkout.

This includes:

  • Product selection
  • Size selection
  • Quantity
  • Name spelling
  • Jersey numbers
  • Customizations
  • Shipping information
  • Contact information

Once an order is submitted, changes may not be
possible.

Team Lab is not responsible for errors entered
by customers during the ordering process.

7. NO
CANCELLATIONS, RETURNS OR EXCHANGES

Because products are custom manufactured:

All Sales
Are Final.

Team Lab does not accept:

  • Returns
  • Exchanges
  • Refund requests
  • Size exchanges
  • Buyer remorse claims

Exceptions may be made solely in cases where
Team Lab determines a manufacturing defect exists.

Variations in sizing, color appearance,
artwork placement, or customer ordering errors do not constitute manufacturing
defects.

8.
PRODUCT IMAGES, MOCKUPS & COLOR REPRESENTATION

Product images, renderings, mockups, digital
proofs, catalogs, and website displays are provided for illustration purposes
only.

Actual products may vary due to:

  • Screen calibration
  • Device displays
  • Printing methods
  • Fabric types
  • Dye lots
  • Manufacturing processes

Colors shown online may not exactly match
final production colors.

Team Lab does not guarantee exact color
matching unless specifically agreed upon in writing.

9.
SHIPPING & DELIVERY

Delivery timelines are estimates only.

Team Lab shall not be responsible for delays
caused by:

  • Shipping carriers
  • Customs inspections
  • Weather conditions
  • Labor disputes
  • Transportation disruptions
  • Events beyond Team Lab's reasonable control

Risk of loss transfers to the customer upon
delivery to the shipping carrier or designated pickup location.

10.
INTELLECTUAL PROPERTY

All content displayed on Team Lab websites,
including but not limited to:

  • Logos
  • Artwork
  • Graphics
  • Product designs
  • Images
  • Mockups
  • Layouts
  • Text
  • Branding

is the property of Team Lab or its licensors
and is protected by applicable intellectual property laws.

No content may be copied, reproduced,
modified, distributed, or used without prior written permission.

Organizations remain responsible for ensuring
they possess all necessary rights and permissions for logos, trademarks, and
artwork submitted for production.

11.
LIMITATION OF LIABILITY

To the fullest extent permitted by law, Team
Lab shall not be liable for any:

  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Lost profits
  • Lost revenue
  • Lost opportunities
  • Business interruption
  • Delayed deliveries
  • Event cancellations

Team Lab's maximum liability for any claim
shall not exceed the amount paid for the affected order.

12.
INDEMNIFICATION

Customers, organizations, clubs, and
purchasers agree to indemnify and hold harmless Team Lab Inc., its officers,
directors, employees, contractors, affiliates, and partners from any claims,
damages, liabilities, losses, costs, or expenses arising from:

  • Submitted artwork
  • Trademark disputes
  • Copyright claims
  • Customer ordering errors
  • Misuse of products
  • Violations of these Terms

13.
FORCE MAJEURE

Team Lab shall not be responsible for any
delay or failure to perform resulting from causes beyond its reasonable
control, including but not limited to:

  • Natural disasters
  • Floods
  • Fires
  • Pandemics
  • Government actions
  • Labor disputes
  • Factory shutdowns
  • Transportation interruptions
  • Supply chain disruptions
  • Acts of war
  • Cybersecurity incidents

14.
GOVERNING LAW

These Terms & Conditions shall be governed
by and interpreted in accordance with the laws of the Province of Ontario and
the laws of Canada applicable therein.

Any dispute arising from these Terms shall be
subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

15.
MODIFICATIONS

Team Lab reserves the right to update, modify,
or replace these Terms & Conditions at any time without prior notice.

The most current version will always be posted
on the applicable website.

Continued use of any Team Lab website or Club
Store constitutes acceptance of the revised Terms.
